Terms of Service

1. Agreement to Terms

By creating an account or using the Heynow platform ("Service"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a binding agreement between you and Biz Hero (Pty) Ltd, a company incorporated and operating in the Republic of South Africa (bizhero.tech), the owner and operator of the Heynow platform. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Heynow provides:

  • An AI-powered customer support chat widget embeddable on your website
  • A knowledge base management portal for uploading and organising support content
  • Conversation history and analytics tools
  • A client portal for managing settings, subscriptions, and billing

The Service is provided on a software-as-a-service basis. We reserve the right to modify, suspend, or discontinue features at any time with reasonable notice where possible.

3. Accounts and Registration

To access the Service you must create an account and verify your email address. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account credentials confidential and not share them with third parties
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account

We may suspend or terminate accounts where we reasonably suspect fraudulent, abusive, or illegal activity.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered on a subscription basis with two plans — Growth and Business — as described on our page. Plans are billed monthly in South African Rand (ZAR) for South African customers, or US Dollars (USD) for international customers.

4.2 Payment Processing

South African customers are billed in ZAR via PayFast (Pty) Ltd, a South African PCI-DSS compliant gateway supporting Visa, Mastercard, Instant EFT, and Mobicred. International customers are billed in USD via Lemon Squeezy, a global payment provider and Merchant of Record. By subscribing to a paid plan, you authorise the applicable payment processor to charge your nominated payment method monthly on a recurring basis.

4.3 Recurring Billing

Your subscription renews automatically each month. You will receive an invoice by email for each successful charge. You can view billing history and download invoices from the Billing section of your portal.

4.4 Cancellation

You may cancel your subscription at any time from Portal > Billing. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date, after which your widget will stop responding to new visitor messages until you resubscribe. We do not offer refunds for partial billing periods. See our for full details.

4.5 Failed Payments

If a recurring payment fails, we will notify you by email. Your payment processor will retry automatically. If payment is not resolved within 7 days, your widget may be suspended until payment is received. Outstanding amounts remain payable.

4.6 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' written notice before any price change affects your billing. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable South African or international law or regulation
  • Distribute spam, malware, phishing content, or other harmful material
  • Harass, threaten, or deceive Visitors interacting with your widget
  • Attempt to scrape, reverse-engineer, or interfere with the Service infrastructure
  • Exceed the message limits of your plan through automated or artificial means
  • Use the Service in any way that could damage Heynow's reputation or that of other Clients
  • Collect personal information from Visitors in violation of POPIA or other applicable privacy law
  • Upload knowledge base content that infringes third-party intellectual property rights

We reserve the right to suspend or terminate access immediately if we detect a material breach of this section.

6. AI-Generated Responses

The chat widget relies on large language model AI technology to generate responses to Visitor queries. You acknowledge that:

  • AI responses are generated automatically and may occasionally be inaccurate, incomplete, or inappropriate
  • You are responsible for the quality of your knowledge base content, which directly influences response accuracy
  • Heynow does not guarantee that AI responses will be error-free or suitable for any particular purpose
  • You should review and test your widget configuration before deploying it to customers
  • You remain solely responsible for the support experience provided to your website Visitors

AI responses are not legal, financial, or professional advice. Heynow accepts no liability for decisions made based on AI-generated content.

7. Your Content and Data

7.1 Ownership

You retain all intellectual property rights in content you upload to the knowledge base and in your widget configuration. By uploading content, you grant Heynow a limited, non-exclusive licence to store, process, and use that content solely to provide the Service.

7.2 Visitor Data

Conversation data generated through your widget belongs to you and your Visitors. As the Responsible Party under POPIA for Visitor data collected via your widget deployment, you are responsible for ensuring your use of Visitor data complies with applicable privacy law, including obtaining any necessary consents and maintaining an appropriate privacy notice on your website.

7.3 Data Processing Agreement

By accepting these Terms, you also agree to our processing of Visitor data on your behalf as an Operator under POPIA. We process Visitor data only on your instructions (as configured in the Service) and for no other purpose.

8. Intellectual Property

Biz Hero (Pty) Ltd and its licensors own all intellectual property rights in the Service, including the Heynow platform software, user interface, AI models, and documentation. These Terms do not grant you any rights to Biz Hero's intellectual property except the limited right to use the Service in accordance with these Terms.

The Heynow and Biz Hero names, logos, and brand marks are trademarks of Biz Hero (Pty) Ltd. You may not use them without our prior written consent.

9. Availability and Service Levels

We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by circumstances beyond our reasonable control, including third-party provider outages (e.g., OpenAI API, PayFast, Lemon Squeezy, hosting infrastructure) or force majeure events.

Each plan includes a monthly message limit (the Business plan has unlimited messages). When the limit is reached, the chat widget is suspended and visitors are informed to contact you directly. The counter resets on your billing anniversary date. Upgrading your plan restores access immediately.

10. Limitation of Liability

To the maximum extent permitted by South African law:

  • Biz Hero (Pty) Ltd provides the Service "as is" without warranties of any kind, express or implied
  • Biz Hero (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability to you for any claim arising out of or related to the Service shall not exceed the total fees paid by you to Biz Hero (Pty) Ltd in the 3 months preceding the event giving rise to the claim

Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Biz Hero (Pty) Ltd and its employees, contractors, and licensors from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights including privacy rights; or (d) the content you upload or the widget configuration you deploy.

12. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription and closing your account. We may terminate your account immediately for material breach of these Terms, non-payment, or if required by law.

Upon termination, your right to access the Service ceases. Conversation data and knowledge base content will be deleted within 30 days of account closure, subject to our data retention obligations under applicable law. Invoices and billing records are retained for 5 years.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.

Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date above. Continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service.
